Upstream Deal Flow

Exploring deal flow and business transitions through a systems lens

The Perspective

I built my career in Silicon Valley working on systems designed to scale under real constraints. While my background is technical, I have always been interested in the underlying mechanics of how a business functions, identifying the points of friction that stall growth well before they ever show up in a financial report.Today, I apply that systems mindset beyond technology. I look at a business as an integrated system where the structure and internal incentives must be aligned to remain resilient. My focus is on understanding these dynamics and how they evolve, particularly when a company is facing a significant shift in its ownership or capital strategy.

The Focus

I’m exploring the intersection of small and mid-market businesses, private equity, and ownership transition, with an emphasis on early conversations rather than forced outcomes.
My work centers on:

  • Understanding businesses well before a transaction is imminent

  • Learning what makes companies genuinely “deal-ready” (or not)

  • Building relationships across founders, operators, buyers, and capital partners

I’m not positioning myself as a broker or an intermediary.
I’m intentionally upstream, where alignment is formed and decisions are still flexible.

How I Think About Deals

I care more about about pattern recognition and long-term fit, rather than transaction velocity. In a market crowded with intermediaries and noise, I bring a logic-driven lens shaped by years of systems thinking:

Structural Evaluation

Looking beyond surface metrics to understand operational integrity, complexity, and scalability.

Context-First Deal Flow

Prioritizing clarity of motivation, incentives, and timing over speed or volume.

Transition Readiness

Exploring how founders and businesses prepare, operationally and psychologically, for new ownership or capital.

Current Areas of Interest

I’m most curious about businesses where operational depth matters. This includes software-enabled services, industrial or technical operations, and specialized service companies with real foundations.
I’m especially interested in situations where:

  • The business works, but structure or ownership is evolving

  • Capital or partnership is a question

  • Patience and alignment will matter more than price

Let's Connect

I’m actively building relationships with:

  • Founders and owners thinking ahead about transition

  • Buyers and GPs interested in thoughtful, early deal flow

  • Operators and advisors who care about fundamentals and alignment
